Self-Hosting Terms of Service

By Self-hosting the Invoice Ninja platform, you are agreeing to the following terms of use:

Source Code License

As of June-2021, Invoice Ninja is officially using the "Elastic License 2.0."

Self-hosting Invoice Ninja

Instructions for setup are available at www.invoiceninja.org. All Pro and Enterprise features are included in self-hosted code.

Users acknowledge the platform is provided "as is" and "with all faults." You assume all risks associated with the use of the self-hosted software, including but not limited to the risk of data loss, system failures, or security vulnerabilities.

Right to Amend; Unilateral Modification

Invoice Ninja LLC reserves the right to modify these Terms at any time without prior notice. Changes become effective immediately upon posting. Your continued access to or use of the services after such modifications constitutes your irrevocable acceptance of the amended Terms. If you do not agree with any changes, your sole remedy is to discontinue use of the platform.

Definitions

  • Account Holder: Any individual or entity that installs, configures, self-hosts, or operates the Invoice Ninja platform, whether in a self-hosted or hosted environment.
  • Invoice Recipient: Any third party who accesses the platform solely to view, receive, or pay invoices issued by an Account Holder, and who does not maintain an administrative account on the platform.
  • Customer Data: All data, documents, invoices, files, content, and information input, uploaded, generated, or processed through the platform by or on behalf of an Account Holder or Invoice Recipient.

Eligibility

You represent and warrant that you are: (i) at least eighteen (18) years old; (ii) have not been previously suspended or removed from the platform; and (iii) are using the platform in compliance with all applicable laws and regulations.

Personal Responsibility

Account holders must maintain confidential usernames and passwords. You are responsible for all activity conducted through your account, including compliance with applicable data privacy laws and intellectual property laws. You must obtain all necessary rights and permissions for all data you provide to or process through the platform.

Annual White-label License (Recurring)

Annual white-label licensing is fully non-refundable.

By signing up for the Invoice Ninja white-label license you are agreeing to allow Invoice Ninja to auto-bill your credit card annually for license renewal.

By providing us with a payment method, you represent and warrant that you are authorized to use such payment method.

We reserve the right to change the subscription fees that we charge for the Service, at any time in our sole discretion.

PEPPOL Credits Non-Refundable

PEPPOL credits ($50/500 or $100/1000) remain valid for one calendar year from purchase and are 100% non-refundable.

Reselling the Invoice Ninja SaaS

The Invoice Ninja platform may not be resold, integrated or bundled with third-party software and resold, white-labeled and resold, or marketed in any way without a contractual reseller agreement with Invoice Ninja LLC.

Data Ownership

The User or Self-hoster accounts own & take responsibility for all data generated in their self-hosted invoiceninja.com or rebranded account. Invoiceninja.com has no access to view/edit/modify/remove self-hosters data in any capacity.

The User or Self-hoster are responsible for their data. Invoiceninja.com has no responsibility or liability for data hosted by third parties. The User or Self-hoster is responsible for any loss or damage a User Account may cause to their Clients or other people.

Your Obligations

You are solely responsible for, and Invoice Ninja disclaims all liability for, the provision of any goods or services sold to your customers or users as part of your use of the Invoice Ninja platform, and any obligations you may owe to your clients.

Customer Service

Customer service for your business is your responsibility. We provide customer service to you the account user, for use of the Invoice Ninja platform.

You are solely responsible for all customer service policies and issues relating to your goods or services, including pricing, order fulfillment, cancellations or no shows by you or a customer, returns, refunds and adjustments, rebates, functionality and warranty, technical support, and feedback concerning experiences with your personnel, policies or processes. In performing customer service, you will always present yourself as a separate entity from Invoice Ninja.

Data Usage Rights — Self-Hosted Software

If you deploy the software in a self-hosted environment, all Customer Data remains exclusively within your own infrastructure and under your sole control.

Invoice Ninja LLC does not receive, access, collect, store, transmit, or process Customer Data from self-hosted deployments.

No license to Customer Data transfers to Invoice Ninja LLC, except when users voluntarily provide data for support or diagnostics purposes.

The self-hosted version contains no mandatory telemetry, tracking, or automated data transmission.

Recurring Billing

By signing up for the white-label service, you authorize Invoice Ninja to auto-bill your credit card annually to ensure that you do not experience any interruption of service or downgrade.

By providing us with a payment method, you represent and warrant that you are authorized to use such payment method.

We reserve the right to change the subscription fees that we charge for the Service, at any time in our sole discretion. Changes to fees take effect in the billing period immediately following our notice to you.

Referral Program Use of Trademarked Materials

Users may utilize marketing materials provided for referral program marketing via their referrals page. However, such use does not constitute a licensing for use of the Invoice Ninja brand.

Referral participants may market Invoice Ninja as a 3rd party entity, independent from themselves. They may not create social media accounts or "community" discussion board accounts presenting themselves as "Invoice Ninja", or any of our noted trademarked brands.

Prohibited Activities

The Invoice Ninja platform may not be used for any unlawful, fraudulent, deceptive, or misleading purpose. Specifically, the following activities are strictly prohibited:

Impersonation & Brand Misrepresentation

Creating invoices, emails, or communications that falsely represent or imply affiliation with, endorsement by, or identity as another individual, company, brand, or organization. This includes misleading recipients about the legitimacy of the sender.

Deceptive Billing & False Invoice Practices

Invoicing for goods or services that were not ordered, requested, contracted, or previously agreed upon by the recipient. This includes sending invoices under false pretense of a renewal, subscription continuation, domain/URL renewal, software license renewal, or any other fabricated obligation.

Phishing, Scams & Social Engineering

Using the platform as part of any phishing scheme, scam, social engineering attempt, or other activity designed to fraudulently obtain money, personal data, credentials, or sensitive information from recipients.

Restricted Businesses

The following categories of businesses and business practices are restricted from using the Invoice Ninja platform.

Certain restricted businesses may be eligible for processing with explicit prior approval from Invoice Ninja. However, businesses that offer illegal products or services are never eligible for approval.

By using our services, you confirm that you will not use the Invoice Ninja platform in connection with any of the following restricted businesses, unless you have received prior written approval from Invoice Ninja:

It is also prohibited to use the services for any dealings, engagement, or sale of goods/services linked directly or indirectly with jurisdictions deemed high risk, such as but not limited to, Cuba, Iran, North Korea, Crimea Region, and Syria.

Prohibitive Industries

The Invoice Ninja platform and services cannot be used to support any of the following:

  1. Any illegal activity or goods/services illegal in the jurisdiction of the seller or purchaser
  2. Paraphernalia that may be used for illegal activities
  3. Buyers clubs and associated membership dues
  4. Credit counseling or credit repair agencies
  5. Credit and identity theft protection services
  6. Direct marketing or subscription offers and services
  7. Infomercial sales
  8. Internet, mail order, or telephone order pharmacies or pharmacy referral services
  9. Unauthorized multi-level marketing businesses
  10. Inbound or outbound telemarketers
  11. Prepaid phone cards or phone services
  12. Rebate-based businesses
  13. Betting, including lotteries, casino gaming chips, off-track betting, wagers at races, and gambling
  14. Manual or automated cash disbursements
  15. Prepaid cards, checks, insurance, or other financial merchandise or services
  16. Sales of money orders or foreign currency
  17. Wire transfer money orders
  18. High-risk telemarketing products or services
  19. Automated fuel dispensers
  20. Sales of firearms and ammunition
  21. Internet or mail order sales of age-restricted products including tobacco and alcohol
  22. Hate or harmful products, services, or content

Unauthorized Use of Trademarks & Branding

Users may not use trademarks, logos, trade names, or branding of third parties without express authorization. This includes the use of Invoice Ninja branding in ways that suggest official affiliation, endorsement, or partnership where none exists.

Automated Use & API Abuse

Use of automation, scripts, bots, APIs, or bulk-sending mechanisms to generate or distribute invoices for deceptive, misleading, or unauthorized purposes is strictly prohibited.

"We Can Name You" Clause

Invoice Ninja reserves the right to notify affected brands, recipients, or authorities of misuse, including disclosure of the User's business name and contact information where legally permitted.

Cooperation with Law Enforcement and Legal Action

You acknowledge and agree that:

  • We may cooperate fully with law enforcement agencies, regulators, financial institutions, and affected third parties in investigating suspected fraud or illegal activity;
  • We may disclose account information, IP addresses, and related records as required by law or deemed reasonably necessary to prevent harm or fraud;
  • We reserve the right to pursue all available legal remedies, including civil action, to recover damages, costs, and attorneys' fees arising from your misuse of the Service.

Indemnity

(i) You agree to protect, defend, indemnify and hold harmless Invoice Ninja and its officers, employees, and third-party service providers from and against all claims, demands, costs, expenses, losses, liabilities and damages of every kind (including reasonable attorneys' fees) imposed upon or incurred by Invoice Ninja directly or indirectly arising from your use of and access to the Invoice Ninja site & platform;

(ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or

(iii) your violation of any third-party right, including without limitation any intellectual property or other proprietary right.

Zero Tolerance for Fraud

The Company maintains a zero-tolerance policy for fraud, impersonation, phishing, or deceptive invoicing. Any such use of the Service will be reported to relevant authorities.

Limited Liability

User Accounts and Clients agree to indemnify, defend, and hold invoiceninja.com, its directors or employees harmless against any and all liability and cost as a result of using invoiceninja.com. User Accounts and Clients shall not assert any claim or allegation of any nature whatsoever against invoiceninja.com, its directors or employees.

Invoiceninja.com shall not be liable for damages of any kind, including but not limited to loss of site use, loss of profits or loss of data, tort or otherwise, arising out of or in any way connected with the use of or inability to use invoiceninja.com.

You shall defend, indemnify and hold harmless invoiceninja.com from any loss, damages, liabilities, expenses, claims and proceedings arising out of your use of invoiceninja.com.
